Effective date: 1 February 2026 Programme operator: Greenstaff Medical (Beijing) Company Limited, affiliated with the ICG Medical Group Contact: info@greenstaffmedical.cn These Terms and Conditions govern participation in the Greenstaff Medical (China) Refer a Friend Programme (the Programme) and apply to all referrals submitted within the People’s Republic of China, excluding Hong Kong SAR, Macau SAR, and Taiwan. Article 1 Definitions 1.1 Company / We / Us Refers to Greenstaff Medical (Beijing) Company Limited and its authorised representatives. 1.2 Brand Names Refers to the brands used by the Company in China, including but not limited to Greenstaff Medical, Greenstaff Medical China, GSM, and corresponding Chinese brand names. 1.3 Refer a Friend Programme Refers to the referral incentive programme operated by the Company from time to time. 1.4 Referrer Refers to an individual who submits a referral in accordance with these Terms and Conditions. 1.5 Referred Candidate Refers to an individual whose personal information is submitted by a Referrer and accepted by the Company for recruitment evaluation. 1.6 Referral Refers to the submission of candidate information in accordance with Article 5. 1.7 Successful Referral Refers to a Referral that satisfies all conditions set out in Article 6 and becomes eligible for a Reward. 1.8 Reward Refers to the incentive payable to the Referrer for a Successful Referral, subject to these Terms and Conditions. 1.9 Business Day Refers to any day other than a Saturday, Sunday, or public holiday in the People’s Republic of China. Article 2 Scope and Acceptance 2.1 These Terms and Conditions govern participation in the Programme and the determination, timing, and issuance of Rewards. 2.2 By submitting a Referral, the Referrer confirms that they have read, understood, and agreed to be bound by these Terms and Conditions in full. 2.3 The Company reserves the right to accept or reject any Referral and to determine, in accordance with these Terms, whether a Referral constitutes a Successful Referral. Article 3 Referrer Eligibility 3.1 A Referrer must: • be at least 18 years of age; • have a genuine and lawful personal or professional relationship with the Referred Candidate; and • be able to lawfully provide the Referred Candidate’s information with prior consent. 3.2 The following parties are not eligible to participate: • current or former employees, directors, officers, contractors, or agency staff of the Company or any ICG Medical Group entity, and their immediate family members; • individuals or organisations engaged in recruitment, labour dispatch, referral brokering, or similar intermediary activities for commercial purposes; • any person participating through paid marketing, affiliate, or promotional arrangements unless approved in writing by the Company. 3.3 The Company may reject any Referral that is false, misleading, improper, or submitted in bad faith. Article 4 Referred Candidate Eligibility 4.1 A Referred Candidate must: • be new to the Company and not previously registered, contacted, or engaged in a recruitment process with the Company; • meet the Company’s recruitment requirements; and • have provided informed and voluntary consent for their personal information to be shared with the Company for recruitment purposes. 4.2 If the Referred Candidate already exists in the Company’s database, the Referral is invalid. 4.3 Self-referrals are strictly prohibited. Article 5 Referral Submission and Validity 5.1 Referrals must be submitted through Company-designated channels, including: • direct contact with Company recruitment consultants; • email to info@greenstaffmedical.cn; • official Company social media accounts, including WeChat, Xiaohongshu, and LinkedIn; • any other channel designated in writing by the Company. 5.2 The time of receipt shall be determined by the Company’s system records, message logs, or email timestamps. 5.3 Where multiple Referrers submit the same Candidate: • the first Referral received and accepted by the Company shall prevail; or • where the Candidate provides clear written designation of a Referrer prior to interview, the Company may recognise such designation at its discretion. 5.4 A Referral remains valid for twelve (12) months from the date of receipt unless otherwise determined by the Company. Article 6 Successful Referral Conditions A Referral shall only be deemed a Successful Referral if all of the following conditions are met: 6.1 The Referral complies with these Terms and Conditions. 6.2 The Referred Candidate is successfully placed with: • a client of the Company; or • the Company or its affiliated entities, under a lawful employment or engagement arrangement. 6.3 The Referred Candidate completes a qualifying service period as recognised by the relevant client and confirmed through completion of the related commercial settlement. 6.4 The placement is not cancelled, reversed, refunded, or voided due to compliance breaches, misrepresentation, or misconduct. Article 7 Client Payment Condition and Reward Eligibility 7.1 Client payment requirement Reward eligibility is strictly conditional upon the Company receiving payment from the relevant client in respect of the placement of the Referred Candidate. For avoidance of doubt: • employment commencement alone does not trigger Reward eligibility; • invoices issued or contracts signed do not constitute payment. 7.2 If client payment is delayed, disputed, withheld, cancelled, or reversed, the Reward shall not become payable unless and until payment is received by the Company. 7.3 The Company is not required to advance, guarantee, or pre-pay Rewards in the absence of client payment. Article 8 Reward Confirmation and Payment Timing 8.1 Upon satisfaction of: • Successful Referral conditions under Article 6; and • receipt of client payment under Article 7, the Company will confirm Successful Referral status within 60 Business Days. 8.2 The Company will issue the Reward within 60 calendar days from the date full client payment is received. 8.3 Where client payment is received in instalments, the 60-day period shall commence from receipt of the final required instalment. 8.4 Subject to compliance with these Terms, the Company guarantees that Reward issuance will not exceed the 60-day period following client payment. Article 9 Reward Form and Conditions 9.1 The standard Reward is RMB 888, or an equivalent gift card or electronic voucher, as determined by the Company. 9.2 Rewards are issued to the Referrer only and are non-transferable. 9.3 The Company is not responsible for third-party gift card or voucher issuer terms or restrictions. Article 10 Contact Attempts and Reward Forfeiture 10.1 The Referrer is responsible for ensuring that all contact details provided to the Company are accurate and up to date. 10.2 Once a Reward becomes payable, the Company will attempt to contact the Referrer: • a minimum of three (3) times; • across at least two (2) communication channels; • over a period of no less than 30 calendar days. 10.3 Contact attempts may include phone calls, emails, WeChat messages, or other reasonable communication methods. 10.4 If the Referrer fails to respond, cannot be reached, or does not complete required confirmation steps within six (6) months from the date the Reward first becomes payable, the Reward shall be deemed forfeited. 10.5 The Company’s communication records shall constitute primary evidence of contact attempts. Article 11 Prohibited Conduct 11.1 The Company may reject Referrals or cancel Rewards where it reasonably suspects: • submission without candidate consent; • fabricated, bulk, scraped, or purchased data; • impersonation or misrepresentation; • collusion or abuse of the Programme; • attempts to improperly influence Company staff or clients; • unauthorised public promotion or advertising of the Programme. 11.2 The Company reserves the right to recover Rewards already issued where fraud or material breach is identified. Article 12 Tax Responsibility 12.1 Any taxes or reporting obligations arising from the Reward shall be borne solely by the Referrer. 12.2 The Company does not provide tax advice or filing services. Article 13 Personal Data Protection 13.1 The Referrer confirms that lawful consent has been obtained from the Referred Candidate. 13.2 The Company will process personal data in accordance with applicable PRC laws and its privacy policy. 13.3 Referrers and Candidates may request access, correction, or deletion of personal data in accordance with applicable law. Article 14 Programme Changes and Termination 14.1 The Company may amend, suspend, or terminate the Programme where required for operational or regulatory reasons. 14.2 Changes will not affect Rewards already confirmed as payable, unless fraud or illegality is identified. Article 15 Governing Law and Dispute Resolution 15.1 These Terms are governed by the laws of the People’s Republic of China. 15.2 Disputes shall first be resolved through amicable consultation. 15.3 Where unresolved, disputes shall be submitted to the competent People’s Court at the Company’s place of domicile.
